Please read these terms carefully before using the LEGACY by Gabriel platform.

1 Introduction

LEGACY by Gabriel (hereinafter referred to as “LEGACY”, the “Platform”, “we”, “us”, or “our”) is a comprehensive, all-in-one educational platform developed and operated by Gabriel Oluwademilade Adeniji (the “Founder” / “Developer”) alongside the official LEGACY Team. The brand name “LEGACY by Gabriel” has been formally registered; however, full business registration with the Nigerian Corporate Affairs Commission (CAC) is currently pending completion.

LEGACY is no longer centred around the Federal University of Technology, Akure (FUTA). It has evolved into a global educational ecosystem designed to serve university students worldwide, irrespective of institution, country, or programme of study. The Platform delivers a broad suite of tools and resources — including digital libraries, practice examinations, AI-powered assistance, in-app payments, career development, campus utilities, and community engagement features — all within a single, unified experience.

By accessing, browsing, registering on, or otherwise using the Platform in any capacity, you (the “User”, “you”, or “your”) acknowledge that you have read, understood, and unconditionally agreed to be bound by these Terms and Conditions (“Terms”), together with our Privacy Policy and any supplementary guidelines published on the Platform. If you do not agree with any provision of these Terms, you must discontinue your use of the Platform immediately.

These Terms constitute a legally binding agreement and are governed by the laws of the Federal Republic of Nigeria, including — but not limited to — the Nigeria Data Protection Act (NDPA) 2023, the Nigeria Data Protection Regulation (NDPR) 2019, the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, the Copyright Act 2022, the Federal Competition and Consumer Protection Act (FCCPA) 2018, the Child Rights Act 2003, and the Arbitration and Mediation Act 2023, as well as internationally recognised standards including GDPR principles, the Berne Convention for the Protection of Literary and Artistic Works, the TRIPS Agreement, and the United Nations Convention on the Rights of the Child (UNCRC).

2 Definitions

For the purposes of these Terms, the following words and expressions shall carry the meanings set out below unless the context requires otherwise:

  • “User” or “Student” means any individual who accesses, browses, registers on, or otherwise interacts with the Platform in any capacity.
  • “Account” means the personal, registered profile that a User creates in order to access and utilise the services offered by the Platform.
  • “Content” means all materials available on or through the Platform, including (but not limited to) textbooks, notes, past examination questions, video lectures, e-books, articles, simulations, forum posts, comments, code, AI-generated outputs, and any files uploaded by Users or administrators.
  • “CoreLibrary” means the self-hosted digital library of academic resources maintained on LEGACY’s own secure servers.
  • “ExamSphere” means the CBT-style (Computer-Based Test) practice examination system provided within the Platform, designed to help students prepare for assessments.
  • “LEGACY Pay” means the centralised in-app payment system through which Users conduct all financial transactions within the Platform using LGC Coins.
  • “LGC” or “LEGACY Coin” means the in-app utility coin used exclusively for transactions within LEGACY by Gabriel. LGC is not a cryptocurrency; it carries no blockchain, no external trading capability, no investment value, and no monetary status outside the Platform. The fixed exchange rate is ₦1 = 2 LGC.
  • “Brand Ambassador” means a User who has been formally accepted — via invitation or application — to represent and promote LEGACY, and who receives enhanced referral rewards as detailed in Section 9.
  • “Developer” or “Founder” means Gabriel Oluwademilade Adeniji, the creator and principal operator of LEGACY by Gabriel.
  • “Team” means the official team members of LEGACY by Gabriel as identified in Section 23 of these Terms.
3 Acceptance & Eligibility

By creating an Account, accessing any page, or using any feature of the Platform, you represent and warrant that you satisfy all eligibility requirements and that you have read, understood, and agreed to abide by these Terms in their entirety.

  • Minimum Age: You must be at least thirteen (13) years of age to use the Platform. Users below the age of eighteen (18) must obtain verifiable consent from a parent or legal guardian prior to registration, in accordance with the Child Rights Act 2003 and the UNCRC.
  • Legal Capacity: You must possess the legal capacity to enter into a binding contract under the laws of your jurisdiction. If you are registering on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
  • Global Access: LEGACY by Gabriel is available to all students worldwide — there are no restrictions based on country, region, or institution.
  • Acceptance of Updates: We may revise these Terms from time to time. Your continued use of the Platform following any such revision constitutes your acceptance of the updated Terms. If you do not agree with any changes, your sole remedy is to discontinue use of the Platform.
4 User Accounts

Registration & Accuracy: To access the full range of services available on the Platform, you must register an Account by providing accurate, current, and complete information — including your full legal name, a valid email address, your matriculation number, faculty and department, and the name of your university. You are obligated to update this information promptly whenever any details change.

Account Security: You bear sole responsibility for maintaining the confidentiality and security of your login credentials. We strongly recommend enabling two-factor authentication (2FA) wherever this feature is available. You must notify us immediately at gabriel@legacybygabriel.com.ng if you suspect any unauthorised access to or compromise of your Account. LEGACY shall not be held liable for any losses, damages, or unauthorised activity arising from your failure to adequately safeguard your Account credentials.

One Account Per User: Each Account is personal, non-transferable, and assigned to a single individual. You may not share, sell, lease, or otherwise grant access to your Account to any third party. Any violation of this provision may result in immediate suspension or permanent termination of the Account in question.

Voluntary Account Deletion: You may request the deletion of your Account at any time by contacting our support team. Following deletion, your personal data will be handled in accordance with Section 15 (Data Protection & Privacy) and Section 16 (Suspension & Termination).

5 Our Services

LEGACY by Gabriel provides a comprehensive suite of educational, productivity, and community services. The Platform currently offers the following modules, each designed to enhance the academic experience of university students:

  • CoreLibrary — A self-hosted digital library of academic resources, fully migrated from third-party hosting services (such as MEGA) to our own secure, dedicated servers for improved reliability, speed, and data protection.
  • ExamSphere — A CBT-style practice examination platform with an upgraded user interface and enhanced security measures to deter data theft and examination malpractice.
  • LEGACY Pay — A centralised in-app payment system powered by LGC (LEGACY Coins), which also houses the Referral System.
  • E-Learning — In-app educational content complemented by video lessons on our official YouTube channel, @LEGACYbyGabriel.
  • Student Tools — A collection of academic productivity utilities including a GPA Calculator, Digital Notes, Study Planner, and more.
  • LEGACY AI — Artificial intelligence–powered study assistance and productivity tools designed to support learning workflows.
  • Career Hub — Career guidance, internship listings, job opportunities, and professional development resources.
  • DevLab — A coding sandbox and developer environment for students learning software development.
  • LEGACY Connect — A student networking platform for peer-to-peer interaction, collaboration, and community building.
  • Business Catalogue — A directory for student-run businesses and entrepreneurial ventures.
  • LEGACY Voice (Voice of Futarians) — A community expression platform enabling students to share opinions, stories, and creative works.
  • Aspirants Guide — A comprehensive resource hub for prospective university students seeking admission guidance and preparation tips.
  • Live Campus Maps — Interactive, real-time campus navigation maps to help students find their way around supported campuses.
  • Campus Events — An events calendar aggregating academic, social, and extracurricular activities on campus.
  • Spiritual Corner — A faith-based reflection and devotional space for students of all backgrounds.
Service Availability: While we strive to maintain high uptime and consistent service quality, features may be modified, temporarily suspended, or permanently discontinued at our sole discretion and without prior liability. Scheduled maintenance windows will be announced in advance whenever reasonably practicable.
6 CoreLibrary

CoreLibrary is LEGACY’s flagship digital library. All resources previously hosted on third-party platforms (including MEGA and similar services) have been fully migrated to LEGACY’s own dedicated, secure servers. This migration delivers significant improvements in loading speed, download reliability, and overall data security for our Users.

  • Pricing: CoreLibrary offers a blend of free and premium content. Premium resources are purchased exclusively with LGC Coins through the LEGACY Pay system.
  • Access Modes: Users may read resources online directly within the Platform, or download them to an Offline Library for offline reading and study.
  • Content Sources: Academic materials are sourced from students and student-led academic platforms, and are made available on CoreLibrary with the express permission of the content administrators. We make reasonable efforts to verify the legitimacy of all uploaded content.
  • No Redistribution: The redistribution, re-uploading, sharing, or commercial exploitation of any CoreLibrary content outside the Platform is strictly prohibited. Any User found to be in violation of this clause will face an immediate and permanent ban, and LEGACY reserves the right to pursue further legal remedies as permitted by law.
  • Copyright Claims: If you are a copyright holder and believe that any material hosted on CoreLibrary infringes upon your intellectual property rights, please contact us immediately at gabriel@legacybygabriel.com.ng with sufficient evidence of ownership. We will review and, where appropriate, promptly remove the infringing material.
7 ExamSphere

ExamSphere is LEGACY’s built-in CBT-style practice examination system. The user interface and underlying security architecture have been comprehensively upgraded to safeguard against data theft, question leakage, and examination malpractice. ExamSphere is designed as a practice and revision tool only — examinations are automatically generated from existing notes and study materials available on the Platform.

Rules of Conduct: When using ExamSphere, all Users must adhere to the following rules without exception:

  • You must not share, distribute, screenshot, record, or otherwise disseminate any examination questions or answers during or after a practice session.
  • You must not impersonate another User, collude with others, or receive assistance from third parties during an examination.
  • You must not attempt to bypass, reverse-engineer, hack, manipulate, or otherwise interfere with the examination interface or its security mechanisms.
Malpractice Policy: ExamSphere does not employ camera or microphone proctoring. However, the system employs automated detection mechanisms to identify suspicious behaviour. When malpractice is detected, the offending User will receive a formal warning. A User may accumulate a maximum of five (5) warnings; upon receiving the fifth warning, the User’s Account will be permanently banned from the Platform.

Disclaimer: All ExamSphere content is contributed by students and undergoes review for accuracy; however, it is not guaranteed to be error-free or fully up to date. LEGACY accepts no responsibility for incorrect answers, outdated course material, or any discrepancy between ExamSphere performance and actual examination results. Users are strongly encouraged to supplement their study with official course materials and direct guidance from their lecturers and academic advisors.

8 LEGACY Pay & LGC Coins

LEGACY Pay is the centralised, integrated payment system that powers all financial transactions within the Platform. It operates exclusively using LGC (LEGACY Coins), an in-app utility coin created solely for purchasing services and premium content on LEGACY by Gabriel.

Important: LGC is NOT a cryptocurrency. It has no underlying blockchain technology, no external exchange or trading capability, no speculative investment value, and absolutely no monetary status or legal tender recognition outside of the LEGACY by Gabriel platform. LGC exists purely as a convenient unit of value for in-app purchases.
  • Exchange Rate: The fixed exchange rate is ₦1 (one Naira) = 2 LGC. This rate is set by LEGACY and may be adjusted with prior notice to Users.
  • Minimum Top-Up: The minimum amount that may be deposited into a LEGACY Pay wallet is ₦100 (equivalent to 200 LGC).
  • Top-Up Methods: Bank Transfer is currently the active payment method. Integration with Paystack and Flutterwave payment processors is planned for future release. Users will be notified when additional payment methods become available.
  • No Service Fees: LEGACY does not charge any service fees, commission, or handling charges on top-up transactions or in-app purchases. However, Users acknowledge that their bank or financial institution may impose its own transfer or transaction fees, which are borne solely by the User.
  • Personal Use Only: LGC Coins are strictly for the personal use of the Account holder. LGC may not be transferred, gifted, traded, or sold to any other User or third party under any circumstances.
  • Non-Refundable: All LGC purchases are final and non-refundable. LGC cannot be withdrawn, cashed out, or converted back into Naira or any other currency.
  • No Expiry: LGC balances do not expire for Accounts that remain in good standing and are not terminated for violations.
  • Reselling Prohibited: The resale, bartering, or commercial trading of LGC Coins is strictly prohibited. Any attempt to resell LGC will result in immediate Account ban and full forfeiture of all remaining LGC balance.
  • Forfeiture on Termination: If your Account is terminated by LEGACY for a violation of these Terms — including, but not limited to, fraud, examination malpractice, LGC reselling, or any form of abuse — your entire LGC balance shall be automatically and permanently forfeited without compensation.
  • Refunds for Payment Errors: Refunds are processed only in cases of verified payment errors, such as duplicate charges or incorrect debit amounts. All refund requests must be submitted within seven (7) days of the transaction and must include proof of the error.
9 Referral System & Brand Ambassadors

The Referral System is integrated directly into LEGACY Pay and rewards Users with LGC Coins for successfully bringing new members to the Platform.

  • Standard Referral Reward: When a new User signs up using your referral link or code, you (the referrer) receive 100 LGC, and the newly referred User receives 50 LGC as a welcome bonus — provided that the referred User completes the full signup process.
  • Brand Ambassador Referral (10× Reward): Users who hold the Brand Ambassador designation receive enhanced rewards: 1,000 LGC for the Brand Ambassador and 500 LGC for the referred User upon successful signup completion.
  • Referral Validity: A referral is considered valid only when the referred User successfully completes the account registration process in full. Incomplete signups do not qualify for rewards.
  • Monthly Referral Cap: Each User (including Brand Ambassadors) is limited to a maximum of fifty (50) successful referrals per calendar month. Referrals exceeding this cap within a given month will not generate rewards.
  • Becoming a Brand Ambassador: Users may become Brand Ambassadors through invitation by the LEGACY Team or by submitting a formal application via email or through the Brand Ambassadors Page on the Platform.
  • Ambassador Removal: LEGACY reserves the right to revoke Brand Ambassador status at any time for reasons including, but not limited to, prolonged inactivity, unresponsiveness to communications, misconduct, or breach of these Terms.
  • Anti-Abuse: Any form of referral abuse — including self-referral through duplicate accounts, creation of fake or bot accounts, automated signups, incentive fraud, or manipulative schemes — will result in the immediate revocation of all pending and credited referral rewards, as well as suspension or permanent ban of the offending Account.
10 E-Learning & YouTube Channel

The E-Learning module encompasses all in-app educational content — including structured lessons, tutorials, and study guides — as well as video content published on our official YouTube channel, @LEGACYbyGabriel.

When accessing E-Learning content through YouTube, you acknowledge that such content is additionally governed by YouTube’s Terms of Service and Google’s Privacy Policy. LEGACY is not responsible for YouTube’s platform availability, content moderation decisions, or any changes YouTube may make to its service.

All educational videos and materials are provided for informational and supplementary learning purposes only. They do not constitute professional academic instruction, and LEGACY does not guarantee any specific academic outcome from viewing or engaging with E-Learning content.

11 Student Tools, LEGACY AI & Other Modules

In addition to the core services described above, LEGACY by Gabriel offers the following supplementary modules, all of which are provided on an “as-is” basis for educational and community engagement purposes:

  • Student Tools (GPA Calculator, Notes, Study Planner, etc.) — These utilities are designed to support academic planning and productivity. While we strive for accuracy, results depend on the data you input, and LEGACY bears no responsibility for errors in calculations resulting from incorrect user entries.
  • LEGACY AI — AI-generated outputs are intended as supplementary study aids. Artificial intelligence can and does produce inaccurate, incomplete, or misleading responses. Always verify AI-generated content against authoritative academic sources before relying on it.
  • Career Hub, DevLab, LEGACY Connect, Business Catalogue — These modules connect students with opportunities and peers. LEGACY does not endorse, vet, or guarantee any third-party listings, job postings, or business entries.
  • LEGACY Voice (Voice of Futarians) — This is a community expression platform. All contributions must comply with these Terms and applicable law. Harassment, hate speech, defamation, or the posting of obscene, violent, or illegal content is strictly prohibited and will be met with immediate Account action.
  • Aspirants Guide, Live Campus Maps, Campus Events, Spiritual Corner — These informational and community modules are maintained to the best of our ability but may contain outdated or incomplete information. Users should independently verify critical details such as admission deadlines, campus directions, and event schedules.
12 User-Submitted Content & Licensing

LEGACY encourages its Users to contribute to the academic community by uploading content such as lecture notes, past examination questions, articles, summaries, comments, project files, and business listings.

By uploading, posting, or otherwise submitting any content to the Platform, you automatically grant LEGACY by Gabriel a worldwide, perpetual, royalty-free, non-exclusive, sub-licensable licence to host, store, reproduce, display, distribute, reformat, adapt, and promote your content within the Platform and through our official marketing and communication channels. This licence is necessary for us to operate, maintain, and improve the services we provide.

  • Ownership & Warranty: You represent and warrant that you are the rightful owner of the content you upload, or that you hold all necessary rights, licences, and permissions to share such content on the Platform. You shall not upload any content that infringes upon the intellectual property rights, privacy rights, or any other rights of any third party.
  • Responsibility: You remain solely responsible for the accuracy, legality, and appropriateness of all content you submit. LEGACY does not pre-screen all user submissions and cannot be held liable for content created by its Users.
  • Removal Requests: You may request the removal of your submitted content at any time by contacting our support team. We will process such requests within a reasonable timeframe.
  • Moderation: LEGACY reserves the right to review, edit, refuse, or remove any user-submitted content that violates these Terms, infringes third-party rights, or is otherwise deemed inappropriate — at our sole discretion and without prior notice.
13 Intellectual Property

All intellectual property rights in and to the Platform — including, without limitation, the brand name “LEGACY by Gabriel”, the LEGACY logo, the LGC Coin mark, the entire source code, user interface designs, visual design system, proprietary algorithms, documentation, and all associated creative materials — are and shall remain the exclusive property of Gabriel Adeniji (LEGACY by Gabriel).

All resources hosted on the Platform legally belong to LEGACY by Gabriel, unless a valid copyright notice from the original owner is clearly present on or associated with the material in question.

You are expressly prohibited from copying, reproducing, downloading (except as permitted through the Offline Library feature), modifying, adapting, translating, distributing, reselling, reverse-engineering, decompiling, scraping, or creating derivative works based on any part of the Platform — in whole or in part — without the prior, explicit, and written authorisation of Gabriel Adeniji.

14 Prohibited Conduct

In using the Platform, you agree to conduct yourself lawfully, ethically, and in accordance with these Terms at all times. The following activities are expressly prohibited and constitute grounds for immediate Account suspension or permanent ban:

  • LGC Reselling: Selling, trading, bartering, or attempting to transfer LGC Coins to another User or any third party for monetary or non-monetary consideration.
  • Automated Activity: Using bots, scripts, crawlers, or any automated tools to create accounts, log in, generate referrals, submit content, or perform any action on the Platform without human initiation.
  • Scraping & Redistribution: Mass-downloading, scraping, mirroring, or redistributing CoreLibrary materials or any other Platform content to external websites, apps, social media, or file-sharing platforms.
  • Examination Malpractice: Sharing, leaking, or distributing ExamSphere questions or answers; impersonating another User during an examination; colluding with others; or using any unauthorised aid.
  • Hacking & Tampering: Attempting to gain unauthorised access to any part of the Platform, its servers, databases, or security systems; deploying malware, viruses, or malicious code; or interfering with the normal operation of the Platform.
  • Harmful Content: Uploading, posting, or transmitting content that is harassing, hateful, defamatory, obscene, threatening, sexually explicit, violent, fraudulent, or otherwise illegal.
  • Impersonation: Misrepresenting your identity, pretending to be another person, or creating false or misleading Account information.
  • Violation of Law: Using the Platform for any purpose that contravenes Nigerian law, the laws of your jurisdiction, or any applicable international regulation.
LEGACY reserves the right to investigate suspected violations and to cooperate fully with law enforcement authorities where criminal conduct is suspected.
15 Data Protection & Privacy

LEGACY by Gabriel is deeply committed to safeguarding the personal data and privacy of its Users. All personal information collected, processed, and stored by the Platform is handled in strict compliance with the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act (NDPA) 2023, as well as the principles enshrined in the European Union’s General Data Protection Regulation (GDPR) where applicable to international Users.

Data We Collect: Upon registration and during your use of the Platform, we collect the following categories of personal information: your full legal name, email address, matriculation number, faculty and department, university or institution name, and technical/usage analytics data (such as device type, browser information, pages visited, and feature engagement patterns).

Third-Party Analytics: The Platform utilises Google Analytics to analyse usage patterns, improve performance, and enhance the overall user experience. By using the Platform, you consent to the processing of your anonymised usage data by Google in accordance with its own privacy policy.

Payment Data: Bank transfer references are processed directly by your financial institution. When Paystack and Flutterwave integrations are activated in the future, payment data will be handled by those processors in accordance with their respective privacy policies and PCI-DSS compliance standards. LEGACY does not store your bank account numbers, card details, or PINs.

16 Suspension & Termination

LEGACY reserves the absolute right to immediately suspend or permanently terminate any User Account that is found to be in violation of these Terms — without prior warning, notice, or opportunity to cure.

Grounds for immediate termination include, but are not limited to: examination malpractice, fraud, LGC reselling, scraping or redistribution of content, automated account activity, uploading harmful or illegal content, impersonation, and any other conduct that threatens the integrity, security, or reputation of the Platform.

  • Effect on LGC: Upon termination for a Terms violation, all LGC Coins remaining in the terminated Account are automatically and irrevocably forfeited. Any pending referral rewards are likewise cancelled without compensation.
  • Data Retention: Following Account closure — whether voluntary or enforced — user data shall be retained solely for legal, regulatory, financial, and compliance purposes for the duration required under applicable Nigerian law, including record-keeping obligations under the Central Bank of Nigeria (CBN) and the Federal Inland Revenue Service (FIRS). All non-essential personal data will be securely purged after this retention period expires.
  • Voluntary Deletion: Users may request Account deletion at any time by contacting the support team. Upon verification of identity, the Account will be deactivated and data handled as described above.
17 Disclaimers & No Guarantees

The Platform, together with all of its services, features, content, and materials, is provided on a strict “AS IS” and “AS AVAILABLE” basis, without any representation or warranty of any kind — whether express, implied, statutory, or otherwise.

Without limiting the generality of the foregoing, LEGACY makes no warranty or representation that:

  • The Platform will be uninterrupted, timely, error-free, or free from viruses or other harmful components.
  • Any Content — whether user-submitted, AI-generated, or editorially curated — will be accurate, complete, reliable, or current.
  • The Platform will meet your specific academic requirements or expectations.
  • Any particular academic outcome, examination result, admission decision, or career opportunity will result from your use of the Platform.

Your use of the Platform is entirely at your own risk. LEGACY strongly recommends that all Users cross-reference Platform content with official academic materials and institutional guidance.

18 Limitation of Liability

To the fullest extent permitted by applicable law, LEGACY by Gabriel, its Founder, Team members, affiliates, partners, and service providers shall not, under any circumstances, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your access to or use of (or inability to use) the Platform.

This limitation applies — without limitation — to damages for loss of academic grades, loss of admission opportunities, loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses, regardless of whether such damages were foreseeable and whether or not LEGACY has been advised of the possibility of such damages.

In any event, LEGACY’s total aggregate liability to any single User for all claims arising out of or related to the use of the Platform shall not exceed the lesser of: (a) the LGC balance in the User’s LEGACY Pay wallet at the time of the event giving rise to the claim, or (b) ₦20,000 (twenty thousand Naira).

19 Indemnification

You agree to indemnify, defend, and hold harmless LEGACY by Gabriel, its Founder (Gabriel Adeniji), the LEGACY Team, and any associated partners, affiliates, or service providers from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of, or access to, the Platform;
  • Any content you upload, post, or otherwise submit to the Platform;
  • Your violation or breach of any provision of these Terms;
  • Your violation of any applicable law, regulation, or the rights of any third party;
  • Any negligent or wrongful act or omission on your part.

This indemnification obligation shall survive the termination or expiration of your Account and these Terms.

20 Force Majeure

LEGACY by Gabriel shall not be held liable for any delay, failure, or interruption in the performance of any obligation under these Terms if such delay, failure, or interruption results from circumstances beyond our reasonable control (“Force Majeure Event”).

Force Majeure Events include, but are not limited to: internet service outages, ISP failures, power supply failures (including NEPA/PHCN/DisCo disruptions), cyber-attacks or distributed denial-of-service (DDoS) attacks, natural disasters (floods, earthquakes, storms), pandemics or public health emergencies, acts of terrorism, armed conflict, industrial action or strikes, government orders or regulatory action, and any other event of a similar nature that is beyond the reasonable control of LEGACY.

21 Changes to Terms

LEGACY reserves the right to modify, amend, supplement, or replace these Terms at any time and at its sole discretion. When material changes are made, we will:

  • Update the Effective Date and Version Number displayed at the top of this document.
  • Notify Users of the changes via email notification and/or in-app notification, providing a summary of the key changes.

Your continued use of the Platform following any modification to these Terms constitutes your binding acceptance of the revised Terms in full. If you do not agree with any change, your sole and exclusive remedy is to cease all use of the Platform and, if you wish, to request Account deletion.

22 Governing Law & Dispute Resolution

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Step 1 — Amicable Resolution: In the event of any dispute, controversy, or claim relating to or arising from these Terms or the use of the Platform, both parties shall first attempt to resolve the matter amicably through good-faith discussion via the LEGACY support channels.

Step 2 — Arbitration: If the dispute remains unresolved after thirty (30) calendar days of good-faith negotiation, the matter shall be referred to and finally resolved by binding arbitration conducted under the provisions of the Arbitration and Mediation Act 2023. The seat of arbitration shall be Lagos, Nigeria. The language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding on both parties.

Step 3 — Litigation: In the event that arbitration does not yield a satisfactory resolution, or in circumstances where injunctive or equitable relief is sought, the courts of Lagos State, Nigeria shall have exclusive jurisdiction over the dispute.
